Terms of Use

Welcome to MotorTrader Uganda ("we," "our," or "us"). These Terms of Use ("Terms") govern your access to and use of the MotorTrader Uganda website (motortrader.co.ug), mobile applications, and related services (collectively, the "Platform").

By accessing or using our Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use our Platform.

MotorTrader Uganda is a premier product of the Katsha Group, with our headquarters at Plot 45, Acacia Avenue, Kololo, Kampala, Uganda. We are registered with the Uganda Registration Services Bureau (URSB) under company registration number 123456.

By using our Platform, you represent and warrant that:

• You are at least 18 years of age (the legal age of majority in Uganda)
• You have the legal capacity to enter into a binding contract
• You are not located in a country that is subject to Ugandan government sanctions
• You have not been previously suspended or removed from our Platform
• All information you provide is accurate, current, and complete

If you are using the Platform on behalf of a business or entity, you represent that you have authority to bind that entity to these Terms.

To access certain features of our Platform, you may need to create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and update your account information as needed
• Keep your password secure and confidential
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

You may not transfer your account to another person without our consent. We reserve the right to suspend or terminate accounts that violate these Terms.

4.1 Listing Requirements

When listing a vehicle for sale on our Platform, you agree to:

• Provide accurate and truthful information about the vehicle
• Include clear, accurate photographs of the actual vehicle
• Disclose any known defects, damage, or issues with the vehicle
• Have legal ownership of the vehicle or authority to sell it
• Ensure the vehicle is not stolen or subject to any undisclosed liens
• Comply with all applicable Ugandan laws regarding vehicle sales

4.2 Listing Approval

All listings are subject to review and approval by our team before going live. We reserve the right to:

• Reject any listing that does not meet our quality standards
• Remove listings that violate these Terms
• Request additional information or documentation
• Edit listing titles and descriptions for clarity

Listing approval typically takes up to 24 hours. The listing period begins once your advert is approved and goes live.

4.3 Prohibited Vehicles

The following vehicles may not be listed on our Platform:

• Stolen vehicles
• Vehicles with tampered or altered vehicle identification numbers (VIN)
• Vehicles with outstanding loans or liens without disclosure
• Vehicles that are not roadworthy or safe to drive
• Vehicles with falsified documents or registration
• Vehicles imported illegally or without proper customs clearance

MotorTrader Uganda offers both free and paid listing options:

We accept the following payment methods:

• Mobile Money: MTN MoMo, Airtel Money
• Bank Transfer: Direct deposits to our Stanbic Bank Uganda account
• Credit/Debit Cards: Visa, Mastercard (processed securely)
• PayPal: Available for international users

5.3 Refund Policy

Our refund policy is as follows:

• Advertising packages are non-refundable once the advert is live
• If your advert is rejected, we will issue a full refund within 7 business days
• Technical issues preventing your advert from going live are eligible for refund
• Refunds are processed to the original payment method

5.4 Taxes

All fees include Value Added Tax (VAT) as required by the Uganda Revenue Authority (URA). You are responsible for any other taxes, duties, or levies that may apply to your transactions.

You agree not to engage in any of the following prohibited activities:

• Violating any applicable Ugandan laws or regulations
• Posting false, misleading, or deceptive information
• Impersonating another person or entity
• Harassing, abusing, or harming other users
• Attempting to gain unauthorized access to our systems
• Using the Platform for any illegal purpose
• Posting spam, phishing links, or malicious content
• Manipulating prices or interfering with other listings
• Circumventing our fee structure or payment systems
• Using bots, scrapers, or automated tools without permission
• Collecting user information without consent
• Engaging in money laundering or fraud

We reserve the right to investigate and take appropriate action against any user who engages in prohibited activities, including suspending accounts and reporting to Ugandan authorities.

7.1 Ownership

You retain ownership of any content you submit to our Platform, including listings, photos, reviews, and messages ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to:

• Host, store, and display your content on our Platform
• Modify or adapt your content for technical compatibility
• Use your content for marketing and promotional purposes
• Share your content with other users as intended

7.2 Content Guidelines

All User Content must comply with these Terms and our Content Guidelines. We reserve the right to remove any content that:

• Is illegal, fraudulent, or deceptive
• Infringes on intellectual property rights
• Contains hate speech or discriminatory content
• Includes explicit or offensive material
• Violates the privacy of others
• Contains malicious code or viruses

MotorTrader Uganda is a platform that connects buyers and sellers. We are not a party to any transaction between users and are not responsible for:

• The quality, safety, or legality of vehicles listed
• The truthfulness or accuracy of listings
• The ability of sellers to sell vehicles
• The ability of buyers to pay for vehicles
• Any disputes that arise between users

8.1 Safety Guidelines

We strongly recommend the following safety practices:

• Inspect vehicles in person before purchasing
• Meet in safe, public locations during daylight hours
• Bring a friend or family member to viewings
• Verify vehicle documents (logbook, insurance, road permit)
• Get a professional mechanic inspection
• Use secure payment methods
• Be cautious of deals that seem too good to be true

All content on our Platform, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, is the property of MotorTrader Uganda or its content suppliers and is protected by Ugandan and international copyright laws.

The MotorTrader name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of MotorTrader Uganda or its affiliates. You may not use these marks without our prior written permission.

You may not:

• Reproduce, distribute, modify, or create derivative works of our content
• Use our trademarks or branding without permission
• Frame or mirror any part of our Platform
• Reverse engineer any software or systems

Your use of our Platform is subject to our Privacy Policy, which explains how we collect, use, and protect your personal information in compliance with the Ugandan Data Protection and Privacy Act, 2019.

By using our Platform, you consent to the collection and use of your information as described in our Privacy Policy.

YOUR USE OF OUR PLATFORM IS AT YOUR SOLE RISK. THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

TO THE FULLEST EXTENT PERMITTED BY UGANDAN LAW, WE DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
• THAT THE PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
• THAT THE RESULTS OBTAINED FROM USING THE PLATFORM WILL BE ACCURATE OR RELIABLE
• THAT ANY ERRORS IN THE SOFTWARE WILL BE CORRECTED

WE DO NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE ADVERTISED OR OFFERED BY A THIRD PARTY THROUGH OUR PLATFORM.

TO THE MAXIMUM EXTENT PERMITTED BY UGANDAN LAW, IN NO EVENT SHALL MOTORTRADER UGANDA, THE KATSHA GROUP, OR THEIR RESPECTIVE DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR:

• ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
• DAMAGES RESULTING FROM YOUR USE OR INABILITY TO USE THE PLATFORM
• UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA
• CONDUCT OF ANY THIRD PARTY ON THE PLATFORM

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US, IF ANY, DURING THE SIX MONTHS PRECEDING THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

You agree to indemnify, defend, and hold harmless MotorTrader Uganda, the Katsha Group, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with:

• Your access to or use of the Platform
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property or privacy rights
• Your User Content
• Any dispute between you and another user

We may terminate or suspend your account and access to the Platform immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

Upon termination:

• Your right to use the Platform will immediately cease
• We may delete your account and all related information
• Any pending transactions may be cancelled
• Sections that by their nature should survive termination shall survive

You may terminate your account at any time by contacting our support team or through your account settings.

These Terms shall be governed by and construed in accordance with the laws of the Republic of Uganda, without regard to its conflict of law provisions.

The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.

16.1 Informal Resolution

Before filing any claim, you agree to attempt to resolve any dispute informally by contacting us at legal@motortrader.co.ug. We will attempt to resolve the dispute within 30 days.

16.2 Arbitration

If informal resolution fails, any dispute arising out of or relating to these Terms shall be finally settled by arbitration in Kampala, Uganda, in accordance with the Arbitration and Conciliation Act, Cap 4 of the Laws of Uganda. The arbitration shall be conducted in English by a single arbitrator appointed by mutual agreement.

16.3 Court Jurisdiction

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief from the courts of Uganda to protect its intellectual property rights or to address urgent matters.

16.4 Class Action Waiver

You agree to resolve disputes with us on an individual basis and waive any right to participate in a class action, class arbitration, or representative proceeding.

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Platform after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Platform.
